Attached are summary recommendations with respect to charter applications. A total of 32 charter actions are recommended involving 32 institutions, including 1 museum, 4 historical societies, 4 libraries, 17 nonpublic schools, 3 chartered postsecondary institutions, 2 education corporations and 1 not-for-profit corporation.
I recommend that the Regents approve each application in accordance with the recommendations contained in the respective summaries.

COGSWELL FREE PUBLIC LIBRARY
Orwell, Oswego County
An absolute charter in the first instance was granted to this corporation by action of the Board of Regents on October 28, 1909 to operate a municipal library to serve the town of Orwell. The board of trustees has applied for an amendment to the absolute charter to change the number of trustees from five to not less than five nor more than eleven and to add the language necessary to maintain tax-exempt status under Internal Revenue Code �501(c)(3). Janet M. Welch and the Office of Cultural Education recommend that the absolute charter be amended accordingly.

A LIVING MEMORIAL TO THE HOLOCAUST: MUSEUM OF JEWISH HERITAGE
New York City, New York County
A provisional charter was granted to this corporation by action of the Board of Regents under the corporate name: "New York City Holocaust Memorial Museum" on April 27, 1984 to perpetuate the memory of the six million Jews who were murdered by Nazi Germany in the Holocaust; to commemorate the lives of the victims of the Holocaust by creating a record of Jewish life, society and culture; to teach the history and lessons of the Holocaust to future generations by conducting lectures, seminars and other educational programs and publishing articles, papers and research materials; and to acquire, build, renovate, equip, maintain and dispose of a museum, conference center, exhibition area, archives and facilities for exhibitions, scholarly research and meetings relating to the other purposes of the corporation. Such provisional charter was amended by Regents action on May 23, 1986 to change the corporate name to "The Museum of the Jewish Heritage" and on April 22, 1988 to change the corporate name to "A Living Memorial to the Holocaust: Museum of Jewish Heritage" and was extended by Regents action on June 16, 1989 and April 29, 1997 and amended by Regents action on April 21, 1998. The board of trustees has applied for an amendment of the provisional charter to amend the purposes to include "to teach the history and lessons of the Holocaust and of Jewish life and heritage to future generations by conducting lectures, seminars and other educational programs and publishing articles, papers and research materials; and "to acquire, build, renovate, equip, maintain and dispose of a museum, conference center, exhibition area, archives and facilities for exhibitions, scholarly research, and meetings, and other events or uses that are consistent with the corporation�s mission, goals, interests and other purposes"; to increase the maximum authorized number of trustees from thirty to thirty-six; and to change the corporate name to "Museum of Jewish Heritage: A Living Memorial to the Holocaust," and as so amended to be made absolute. Clifford A. Siegfried, David W. Palmquist and the Office of Cultural Education recommend that the provisional charter be amended accordingly, but defer a recommendation on making the provisional charter absolute until a site visit can be scheduled to inspect its facility, exhibits, collections, and collections record keeping.

A provisional charter was granted to this corporation by action of the Board of Regents on January 26, 1961 to acquire, preserve and exhibit the relics, antiques, records and various mementos of the past, especially those used by Rushford people and the families in nearby communities; to collect data; to evaluate and to preserve the diaries, manuscripts and other historical material pertinent to Rushford and nearby areas; to index and collate such information to make it available for public use; and to publish and to distribute pamphlets and brochures in relation thereto. Such provisional charter was extended by Regents action on February 25, 1966 and March 20, 2001. The board of trustees has applied for an amendment of the provisional charter to add the language necessary to maintain tax-exempt status under Internal Revenue Code �501(c)(3). Clifford A. A provisional charter was granted to this corporation by action of the Board of Regents on March 19, 1943 to operate a school district public library to serve the Tupper Lake School District. Such provisional charter was extended by Regents action on April 16, 1948, March 27, 1953 and September 19, 1958 and made absolute by Regents action on June 28, 1963. The board of trustees has applied for an amendment to the absolute charter to add the language necessary to maintain tax-exempt status under Internal Revenue Code �501(c)(3). Janet M. The board of trustees has petitioned the Board of Regents to form a corporation to promote a greater awareness of the Mohawk Valley�s Revolutionary War heritage; to foster a better understanding of the uniqueness of the Revolutionary War in the Mohawk Valley; to plan and host at least one Revolutionary War event in the southern Herkimer County area for the duration of the 225th Anniversary Celebration and hopefully beyond; to sponsor the formation of a living history reenactment group to act as host unit for the organization�s local events and to act as Herkimer County and Mohawk Valley�s "good will ambassadors" at Revolutionary War events outside our immediate area; to plan and execute a viable school program to offer to any school requesting this program; and to help plan, participate and execute other programs that bring attention to our Revolutionary War heritage in the Mohawk Valley as a whole. This corporation was incorporated by Special Act of the Legislature on April 24, 1924 pursuant to the provisions of Chapter 345 of the Laws of 1924 to conduct instruction in secondary education in the academic and business courses; to teach such branches of learning, science and knowledge as the trustees may deem advisable; and to promote science, literature, art, history and other departments of knowledge. The board of trustees has applied for an amendment to the charter to amend and restate the document in its entirety as a cohesive document which will change the corporate name to "DeSales High School," to specify that the corporation shall be a membership corporation, to specify the new members of the board of trustees, to outline the governance and management powers of the board and to substitute updated language necessary to maintain tax-exempt status under Internal Revenue Code �501(c)(3). Kids� Place Early Childhood Day School has petitioned the Board of Regents for a provisional charter. Hide-and-Seek Children�s Services, Inc. was incorporated under �402 of the Not-For-Profit Corporation Law (NPCL) on December 12, 1994 to operate day care centers. Upon the effective date of the consolidation of Kids� Place Early Childhood Day School and Hide-and-Seek Children�s Services, Inc., Kids� Place Early Childhood Day School will assume all the assets, liabilities and responsibilities of both organizations. The consolidated corporation will operate under the provisional charter granted to Kids� Place Early Childhood Day School. Such provisional charter was made absolute by Regents action on January 28, 1960. Such absolute charter was amended by Regents action on September 24, 1965, on February 26, 1971 to change the corporate name to "Molloy College" and to make the college co-educational, on May 28, 1976, on May 25, 1984, on December 16, 1988, on July 17, 1998 and on April 29, 2003. The board of trustees has applied for an amendment to the absolute charter to add authority for the University to confer the degree of Master of Business Administration (M.B.A.). Johanna Duncan-Poitier and the Office of Higher Education recommend that the absolute charter be amended accordingly.

A provisional charter was granted to this corporation by action of the Board of Regents under the corporate name "New School for Social Research" on June 22, 1934 to operate a coeducational institution to offer general instruction in the social and political sciences, philosophy and psychology, physical sciences, literature and art and other subjects suitable for the purposes of advanced adult education and to conduct graduate instruction, direct research and offer graduate courses in political and social science leading to the degrees of Master of Social Science (M.S.Sc.) and Doctor of Social Science (D.S.Sc.). Such provisional charter was made absolute by Regents action on January 17, 1941. Such absolute charter was amended by Regents action on May 19, 1944, on February 28, 1947 and on September 24, 1976. Such corporation was consolidated by Regents action on June 22, 1984 with the Parsons School of Design, a domestic education corporation, with the surviving corporation being the "New School for Social Research." The absolute charter of such consolidated corporation was amended by Regents action on September 20, 1985, on July 28, 1989, on September 14, 1990 and on July 23, 1993. Such corporation was consolidated by Regents action on September 24, 1993 with The Mannes College of Music, a domestic education corporation, and the absolute charter of the consolidated corporation was amended by Regents action on November 22, 1968 and June 19, 1980; with the surviving corporation being the New School for Social Research. Such consolidated corporation was amended on February 4, 1997 to change the corporate name to "New School University." The board of trustees has applied for an amendment to the absolute charter to add authority for the University to confer the degree of Master of Philosophy (M.Phil.). This corporation was incorporated pursuant to the provisions of the Membership Corporation Law under the corporate name "The Rabbi Isaac Elchonon Theological Seminary Association" on March 20, 1897. Such certificate of incorporation was amended by action of the Board of Regents on March 27, 1924, on March 29, 1928 to change the corporate name to "Rabbi Isaac Elchanan (sic) Theological Seminary Association and Yeshiva College" and to add authority for the corporation to conduct courses in liberal arts and sciences leading to the degrees of Bachelor of Arts (B.A.) and Bachelor of Science (B.S.); on May 18, 1933, on April 19, 1940 to change the corporate name to "Rabbi Isaac Elchanan Theological Seminary and Yeshiva (sic) College" and to add authority for the College to confer the honorary degree of Doctor of Divinity (D.D.); on November 16, 1945 to change the corporate name to "Yeshiva University" and to add authority for the University to confer the degrees of Bachelor of Hebrew Literature (B.H.L.), Master of Hebrew Literature (M.H.L.), Bachelor of Religious Education (B.R.E.), Master of Religious Education (M.R.E.), Master of Science (M.S.) and Doctor of Philosophy (Ph.D.); on December 15, 1950, on May 24, 1957, on November 21, 1958, on March 25, 1960, on June 23, 1961, on May 27, 1966, on December 15, 1967 to restate the absolute charter (certificate of incorporation) in its entirety, with continuing authority to confer all current degrees; on June 27, 1969; on January 21, 1970, on April 26, 1974; on August 1, 1975, on October 23, 1980 and on April 21, 1998. The board of trustees has applied for an amendment to the absolute charter to change paragraph 2 to indicate that the number of trustees shall be not less than 16 nor more than 50; that "trustees shall be elected for such terms of office as will result in the terms of one-fourth of their number expiring annually"; and as a footnote of the petition, to correct the spelling "Elchonon" to "Elchanan" in the original 1897 document and to remove "(sic)" from all future references to "Elchanan."
