The board of trustees has petitioned the Board of Regents to form a corporation to collect, preserve, and interpret the history of the City of Rochester and surrounding metropolitan area, and to establish and maintain a museum and historical research library and archives.  The Office of Cultural Education recommends that an absolute charter in the first instance be granted.

A provisional charter was granted to this corporation by action of the Board of Regents on April 29, 1920 to operate an association library to serve the residents of  the village of Corfu and vicinity. Such provisional charter was extended by Regents action on April 18, 1941 and December 20, 1946.  Such provisional charter was made absolute by Regents action on February 16, 1951. The board of trustees has applied for an amendment to the absolute charter to clarify the service area as the Town of Pembroke and to add the language necessary to maintain tax-exempt status under Internal Revenue Code §501(c)(3). The Office of Cultural Education recommends that the absolute charter be amended accordingly.

East Fishkill, Dutchess County

 

A provisional charter was granted to this corporation by action of the Board of Regents on July 29, 1938 to operate an association library to serve the community of Fishkill Plains and surrounding territory. Such provisional charter was extended by Regents action on September 17, 1943, November 19, 1948, and March 23, 1956 and amended and made absolute on December 19, 1958. The board of trustees has applied for an amendment to the absolute charter to clarify the service area as the Town of East Fishkill. The Office of Cultural Education recommends that the absolute charter be amended accordingly and to add current language necessary to maintain tax-exempt status under Internal Revenue Code §501(c)(3).

Elizabethtown, Essex County

 

An absolute charter in the first instance was granted to this corporation by action of the Board of Regents on June 26, 1895 to operate an association library to serve the Town of Elizabethtown. Such absolute charter was amended by Regents action on March 17, 1995. The board of trustees has applied for an amendment to the absolute charter to expand the service area to also include the Town of Lewis. The Office of Cultural Education recommends that the absolute charter be amended accordingly.

THE NEW CITY FREE LIBRARY

 

New City, Rockland County

 

A provisional charter was granted to this corporation by action of the Board of Regents on February 16, 1951 to operate an association library to serve primarily the residents of New City, Bardonia, Congers and by contract, all residents of Clarkstown Central School District No. 1, including additionally West Nyack and the Town of Clarkstown. Such provisional charter was extended by Regents action on May 24, 1957, April 26, 1963 and March 25, 1966.  Such provisional charter was made absolute by Regents action on June 25, 1971. The board of trustees has applied for an amendment to the absolute charter to clarify the service area as the census district populations of New City, Bardonia and Congers and to add the language necessary to maintain tax-exempt status under Internal Revenue Code §501(c)(3). The Office of Cultural Education recommends that the absolute charter be amended accordingly.

Stephentown, Rensselaer County

 

A provisional charter was granted to this corporation by action of the Board of Regents on February 28, 1947 to operate an association library to serve the Town of Stephentown in Rensselaer County.  Such provisional charter was made absolute by Regents action on November 30, 1951 and was amended on February 18, 1994. The board of trustees has applied for an amendment to the absolute charter to change the number of trustees from the current seven to not less than five nor more than twenty-five.  The Office of Cultural Education recommends that the absolute charter be amended accordingly.

Youngstown, Niagara County

 

A provisional charter was granted to this corporation by action of the Board of Regents on December 21, 1951 to operate an association library to serve the residents of the Village of Youngstown and the first two election districts of the Town of Porter. Such provisional charter was extended by Regents action on September 20, 1957 and made absolute on May 25, 1962. The board of trustees has applied for an amendment to the absolute charter to specify by specifically delineated boundaries the area in the Town of Porter served by the library and to add the language necessary to maintain tax-exempt status under Internal Revenue Code §501(c)(3). The Office of Cultural Education recommends that the absolute charter be amended accordingly.

The Office of Cultural Education recommends that a provisional charter be granted for a period of five years.

Palmyra, Wayne County

 

The board of trustees and the board of directors have petitioned the Board of Regents, pursuant to Education Law §223, for an order of consolidation of Historic Palmyra and Historic Palmyra, Inc.  Historic Palmyra has separately petitioned the Board of Regents to form a corporation.  Historic Palmyra, Inc was incorporated under the Membership Corporation Law on July 24, 1967.  Historic Palmyra will assume all the assets, liabilities and responsibilities of both organizations. The consolidated corporation will operate under the absolute charter in the first instance granted to Historic Palmyra. The Office of Cultural Education recommends that an order of consolidation of Historic Palmyra and Historic Palmyra, Inc. be granted, with the surviving corporation being Historic Palmyra.

ROCHESTER HISTORICAL SOCIETY AND THE ROCHESTER HISTORICAL SOCIETY

 

Rochester, Monroe County

 

The board of trustees and the board of directors have petitioned the Board of Regents, pursuant to Education Law §223, for an order of consolidation of Rochester Historical Society and The Rochester Historical Society.  Rochester Historical Society has separately petitioned the Board of Regents to form a corporation.  The Rochester Historical Society was founded in 1861 and re-incorporated under “An Act for the Incorporation of Societies or Clubs for Certain Lawful Purposes” on June 1, 1888 and filed with the County Clerk of Monroe County on June 29, 1888.  The consolidated corporation will assume all the assets, liabilities and responsibilities of both organizations. The consolidated corporation will operate under an absolute charter in the first instance granted to Rochester Historical Society. The Office of Cultural Education recommends that an order of consolidation of Rochester Historical Society and The Rochester Historical Society be granted, with Rochester Historical Society as the surviving corporation.

A provisional charter was granted to this corporation by Regents action on July 24, 1992 to operate and maintain an institution of higher learning to offer programs leading to degrees at the baccalaureate, master’s and doctoral levels.  Such provisional charter was amended by Regents action on May 20, 1994 to add authority for the University to offer programs leading to the degrees of Master of Arts (M.A.), Master of Science (M.S.) and Master of Laws (LL.M.) and February 7, 1996 to add authority for the University to offer programs leading to the degree of Doctor of Philosophy (Ph.D.) and was made absolute by Regents action on September 20, 1996.  Such absolute charter was amended by Regents action on November 8, 1996, July 16, 1999 and July 18, 2002. The board of trustees has applied for an amendment to the absolute charter to add authority for the University to confer the degree of Bachelor of Business Administration (B.B.A.).  The Office of Higher Education recommends that the absolute charter be amended accordingly.

A provisional charter was granted to this corporation by action of the Board of Regents  on June 26, 1970 to operate a four-year liberal arts college. Such provisional charter was amended on April 11, 1973, on June 28, 1974, and extended on June 27, 1975 and was consolidated by Regents action on June 21, 1979 with Jewish Teachers Seminary and People’s University, a domestic corporation incorporated pursuant to Chapter 593 of the Laws of 1935 and with Herzliah Hebrew Teachers Institute, Inc., which was incorporated by action of the Board of Regents under the corporate name “Herzliah Hebrew Academy, Inc.” on February 15, 1923 and amended by Regents action on February 15, 1946 to change the corporate name to “Herzliah Hebrew Teachers Institute, Inc.” Such provisional charter was amended and extended numerous times, and was made absolute by Regents action on January 17, 1990. Such absolute charter was again amended by Regents action on September 19, 1997,  April 29, 2003, June 22, 2004, and September 10, 2004 to add authority for the University to establish a branch campus at Kew Gardens Hills, Queens County and to authorize it to award at that branch campus the degrees of Bachelor of Arts (B.A.) and Bachelor of Science (B.S.).   The board of trustees has applied for an amendment to the absolute charter to add authority for the University to confer the degree of Master of Social Work (M.S.W.). The Office of Professions recommends that the absolute charter be amended accordingly.

A provisional charter was granted to this corporation by action of the Board of Regents on April 28, 1995 to provide education and advisory services in management and communications philosophies. Such provisional charter was extended by Regents action on September 15, 2000. The board of trustees has applied for an amendment to the provisional charter to change the corporate name to “WIMEC World Institute for Management, Entrepreneurship and Communications” and to change the corporate address to 100 Church Street, 14th Floor (c/o Sharp Corporation) New York, New York 10007 and, as so amended, for an extension of the provisional charter. The Office of Higher Education recommends that the provisional charter be amended accordingly and, as so amended, extended for a period of five years to allow the corporation additional time to develop its programs and otherwise demonstrate that it can meet the requirements for an absolute charter.

The consent of the Board of Regents to the filing of a certificate of incorporation under Business Corporation Law §402(a) was granted by Regents action on November 6, 1998 to authorize the corporation to operate a college offering a Bachelor of Professional Studies/Master of Science (B.P.S./M.S.) program in acupuncture and Oriental medicine which will qualify candidates for examinations leading to licensure in acupuncture. The board of trustees has requested that the Board of Regents consent to the filing of a certificate of amendment of the certificate of incorporation to authorize the corporation to also confer the degree of Associate in Occupational Studies (A.O.S.)  The Office of the Professions recommends that the consent of the Board of Regents to the filing of such certificate of amendment be granted.
