SUMMARY:

 

Attached are summary recommendations with respect to charter applications. A total of 15 charter actions are recommended involving 15 institutions, including 6 historical societies, 1 library, 5 nonpublic schools, 2 other educational corporations and 1 not-for-profit corporation.

 

I recommend that the Regents approve each application in accordance with the recommendations contained in the respective summaries.

AMENDMENT OF CHARTERS

 

 

No. 1

 

THE NEW YORK  ACADEMY OF SCIENCES

 

New York  City, New York County

 

This corporation was incorporated by Special Act of the New York State Legislature by Chapter 197 of the Laws of 1818 on April 20, 1818 under the corporate name “The Lyceum of Natural History in the City of New York” to foster continuing education in the field of the sciences. Such absolute charter was amended by Order of the Supreme Court of the State of New York on January 5, 1876 to change the corporate name to “The New York Academy of Sciences” and amended by Chapter 181 of the Laws of 1902 on March 19, 1902 and by action of the Board of Regents on December 15,1978. The board of trustees has applied for an amendment to the absolute charter to restate the corporate purposes and to change the corporate address. The Office of Cultural Education recommends that the absolute charter be amended accordingly.

WOLCOTT CIVIC FREE LIBRARY

 

Wolcott, Wayne County

 

A provisional charter was granted to this corporation by action of the Board of Regents on October 17, 1929 to operate a free association library. Such provisional charter was extended by Regents action on October 17, 1941 and December 20, 1946 and made absolute by Regents action on December 20, 1951. The board of trustees has applied for an amendment to the absolute charter to add the language necessary to maintain tax-exempt status under Internal Revenue Code §501(c)(3) and to designate the Commissioner of Education as the agent of the corporation for the purpose of service of process. The Office of Cultural Education recommends that the absolute charter be amended accordingly.

The board of trustees has petitioned the Board of Regents to form a corporation to  operate a historical society. The Office of Cultural Education recommends that a provisional charter be granted for a period of five years.

Angelica, Allegany County

 

A provisional charter was granted to this corporation by action of the Board of Regents  on January 19, 1982 to operate a historical society. The board of trustees has applied for an extension to the provisional charter. The Office of Cultural Education recommends that the provisional charter be extended for five years to allow the corporation additional time to focus on collections management as a step toward attaining Regents registration and otherwise demonstrate that it can meet the requirements for an absolute charter.

A provisional charter was granted to this corporation by action of the Board of Regents  on June 23, 1978 to operate a historical society. Such provisional charter was amended by Regents action on July 31, 1981, April 26, 1991 and July 17, 1998. The board of trustees has applied for an extension to the provisional charter. The Office of Cultural Education recommends that the provisional charter be extended for five years to allow the corporation additional time to achieve a fully accessioned collection, duplicate its records and otherwise demonstrate that it can meet the requirements for an absolute charter.

The board of trustees has petitioned the Board of Regents to form a corporation to support the development of Stony Point Battlefield State Historic Site, which is administered by the Office of Parks, Recreation and Historic Preservation and the Palisades Interstate Parks Commission; to assist in fund-raising activities for the benefit of the site; to assist site staff with educational programs for the site; and to otherwise promote and develop the Stony Point Battlefield for the benefit of the general public. A provisional charter was granted to this corporation by action of the Board of Regents on September 25, 1970 under the corporate name “Little Village Nursery School” to operate a private school for children of preschool age who are neurologically impaired, emotionally disturbed, or mentally retarded. Such provisional charter was made absolute on September 21, 1973. Such absolute charter was amended by Regents action on February 20, 1975 to change the corporate name to “Little Village School,” to delete reference to children of preschool age from its corporate purposes and to provisionally authorize the school to accept children up to the age of 10 until June 30, 1978; September 22, 1978 to make absolute the authority provisionally granted on February 20, 1975 to accept children ages eight through ten; June 21, 1979 to authorize the school to offer instruction in grades nursery through six, to accept autistic and multiply handicapped children, and to establish a day treatment center for developmentally disabled children; September 21, 1979 to change the location of the corporation and that of its principal office and February 11, 2003 to change the corporate name to “The Hagedorn and Little Village School.” The board of trustees has applied for an amendment to the absolute charter to change the corporate name to “The Hagedorn Little Village School.” The Office of Nonpublic School Services recommends that the absolute charter be amended accordingly.

A provisional charter was granted to this corporation by action of the Board of Regents as a stock corporation on June 24, 1966 to operate a nursery school and kindergarten. Such provisional charter was made absolute by Regents action on September 26, 1969. Such absolute charter was amended by Regents action on March 26, 1971 to add authority to also operate grades one through three. The board of trustees has applied for an amendment to the absolute charter to add authority to also operate grades four through eight, a universal pre-kindergarten program and a summer camp; to specify that the school is also being operated at 2187 Victory Boulevard, Staten Island, New York 10314 and to specify that the school continues to be operated at 500 Butler Boulevard, Staten Island, New York 10309 and that such address is the corporate address. The Office of Nonpublic School Services recommends that the absolute charter be amended accordingly.

The board of trustees has petitioned the Board of Regents to form a corporation to  provide preschool special education services including Special Education Itinerant Services (SEIS), multidisciplinary evaluation programs (MDE), Special Classes in an Integrated Setting (SCIS) for preschool students with disabilities; to operate day care centers, a nursery school, a universal pre-kindergarten program and a kindergarten. The Office of Vocational and Educational Services for Individuals with Disabilities (VESID) has been provided with an opportunity to review this action, and the trustees have been advised that the granting of this provisional charter does not constitute approval for State funding for programs and services under the jurisdiction of VESID’s Office for Special Education Services (OSES). The Office of Children and Family Services (OCFS) has consented to this action pursuant to §460-a of the Social Services Law. The Office of Nonpublic School Services recommends that a provisional charter be granted for a period of three years.

MILESTONES CHILDREN’S CENTER

The board of trustees has petitioned the Board of Regents to form a corporation to  provide special education and ancillary educational programs and services for pre-school and school-age children with disabilities; to provide early intervention services, special instruction and therapeutic services to infants and toddlers with disabilities and their families; to provide instructional and enrichment services to preschool children and their families; to provide instruction and therapeutic and clinical interventions in support of the physical, cognitive, social and behavioral development of children with disabilities; to establish day care centers; to research and design individualized and group programs to facilitate the growth, development and learning of children with disabilities and their non-disabled peers; to furnish programs and services to homebound children with disabilities; to involve parents in their children’s development; to train staff to aid in the growth, development, and learning of children with and without disabilities; and to provide information to the public. The Office of Vocational and Educational Services for Individuals with Disabilities (VESID) has been provided with an opportunity to review this action, and the trustees have been advised that the granting of this provisional charter does not constitute approval for State funding for programs and services under the jurisdiction of VESID’s Office for Special Education Services (OSES). The Office of Children and Family Services (OCFS) has consented to this action pursuant to §460-a of the Social Services Law. A provisional charter was granted to this corporation by action of the Board of Regents  on April 24, 1996 to operate a  nursery school, kindergarten and an elementary school. Such provisional charter was amended by Regents action on September 15, 2000 to add authority to also operate a day care and, as so amended, extended. The board of trustees has applied for an extension to the provisional charter. The Office of Nonpublic School Services recommends that the provisional charter be extended for three years to allow the corporation additional time to develop its programs and otherwise demonstrate that it can meet the requirements for an absolute charter.

Brooklyn, Kings County

 

The board of trustees and the board of directors have petitioned the Board of Regents, pursuant to Education Law §223, for an order of consolidation of Evelyn Douglin Center for Children’s Services and Evelyn Douglin Center for Children’s Services, Inc. Evelyn Douglin Center for Children’s Services has petitioned the Board of Regents for a provisional charter. Evelyn Douglin Center for Children’s Services, Inc. was incorporated under §402 of the Not-For-Profit Corporation Law (NPCL) on July 29, 1999 with the  consent of the New York State Education Department. Upon the effective date of the consolidation of Evelyn Douglin Center for Children’s Services and Evelyn Douglin Center for Children’s Services, Inc., Evelyn Douglin Center for Children’s Services will assume all the assets, liabilities and responsibilities of both organizations. The consolidated corporation will operate under the provisional charter granted to Evelyn Douglin Center for Children’s Services. The Office of Vocational and Educational Services for Individuals with Disabilities (VESID) has been provided with an opportunity to review this action, and the trustees have been advised that the granting of a consolidation does not constitute approval for State funding for programs and services under the jurisdiction of VESID’s Office for Special Education Services (OSES).  The Office of Children and Family Services (OCFS) has consented to this action pursuant to §460-a of the Social Services Law. The Office of Nonpublic School Services recommends that an order of consolidation of Evelyn Douglin Center for Children’s Services and Evelyn Douglin Center for Children’s Services, Inc., be granted, forming Evelyn Douglin Center for Children’s Services.

New York City, New York County

 

A certificate of incorporation was granted to this corporation by action of the Board of Regents on October 18, 1991 under the corporate name “Opus 118 Music Center” to operate music programs for students in the public schools in the East Harlem area of New York City. Such certificate of incorporation was amended by Regents action on February 23, 2004 to change the corporate name to “Opus 118 Harlem Center for Strings” and to change the corporate address. The board of trustees has applied for an amendment to the certificate of incorporation to change the corporate name to “Opus 118 Harlem School of Music” and to restate the corporate purposes to read: “To establish, operate, conduct and maintain and promote programs offering instruction in the playing of musical instruments.” The Office of Nonpublic School Services recommends that the certificate of incorporation be amended accordingly.
