A provisional charter was granted to this corporation by action of the Board of Regents on November 16, 1956 to operate an association library.  Such provisional charter was extended by Regents action on February 23, 1962, December 15, 1967 and was made absolute by Regents action on September 22, 1978.  The board of trustees has applied for an amendment to the absolute charter to amend the service area coterminous with Census Tract 126, to designate the Commissioner of Education as agent of the corporation upon whom process in any action or proceeding against it may be served and to add the language necessary to maintain tax-exempt status under Internal Revenue Code §501(c)(3). The Office of Cultural Education recommends that the absolute charter be amended accordingly.

A provisional charter was granted to this corporation by action of the Board of Regents on April 12, 1946 under the corporate name “North Salem-Salem Center Free Library.”   Such provisional charter was extended by Regents on September 19, 1941 and amended on April 12, 1946 to change the corporate name to “North Salem Free Library.”  Such provisional charter was extended by Regents action on June 20, 1947 and was made absolute on June 27, 1952.  The board of trustees has applied for an amendment to the absolute charter to change the corporate name to “Ruth Keeler Memorial Library,” to designate the Commissioner of Education as agent of the corporation upon whom process in any action or proceeding against it may be served and to add the language necessary to maintain tax-exempt status under Internal Revenue Code §501(c)(3). Such provisional charter was amended and made absolute by Regents action on September 25, 1980.  Such absolute charter was last amended by Regents action on July 21, 1995. The board of trustees has applied for an amendment to the absolute charter to restate the corporate purposes to operate an inclusive preschool for children with and without disabilities ages two to five years; to operate inclusive collaboration with nursery schools and day care centers; to operate a kindergarten for five year olds with and without disabilities; to provide early intervention services for students with disabilities ages birth through two; to provide itinerant special education and therapy services for preschool children with disabilities; to serve, in these programs, typical children and children with disabilities who are identified as needing special education, speech/language therapy, occupational therapy, and other approved related services; to establish and operate day care centers; to provide Family Support Services for families of students with developmental disabilities; to advocate for an adequate range of quality services for young children, which are inclusive, normalizing and community based; and to receive funds to provide the means for adequate and quality implementation of these purposes.  The Office of Vocational and Educational Services for Individuals with Disabilities (VESID) has been provided with an opportunity to review this action and the trustees have been advised that the granting of any amendment thereof does not constitute approval for State funding for the programs and services under the jurisdiction of VESID.  The Office of Nonpublic School Services recommends that the absolute charter be amended accordingly.

A provisional charter was granted to this corporation by action of the Board of Regents on March 25, 2003 to operate a grade one through six elementary school.  Such provisional charter was consolidated by Regents action on July 21, 2005 with the Stone Circle Collective, Inc.  The board of trustees has applied for an amendment to the provisional charter to add authority for the corporation to also operate a kindergarten, and that the charter, as so amended, be extended.  The Office of Nonpublic School Services recommends that the provisional charter be amended accordingly and, as so amended, extended for a period of three years to allow the corporation additional time to develop its programs and otherwise demonstrate that it can meet the requirements for an absolute charter.

The board of trustees has petitioned the Board of Regents to form a corporation to provide early intervention services to children from birth to three years of age with special needs, to establish a preschool for children with disabilities ages two to five and a school for children with disabilities ages four to twenty-one; and to operate day care centers.  The corporation will be a membership corporation consisting of members of the Sisters of Charity of St. Vincent de Paul.  The Office of Children and Family Services (OCFS) has consented to this action pursuant to §460-a of the Social Services Law.  The Office of Vocational and Educational Services for Individuals with Disabilities (VESID) has been provided with an opportunity to review this action and the trustees have been advised that the granting of any amendment thereof does not constitute approval for State funding for programs and services under the jurisdiction of VESID.  The Office of Nonpublic School Services recommends that a provisional charter be granted for a period of three years.

This corporation was incorporated by the Secretary of State on April 24, 1863 under the corporate name “The Trustees of The Syrian Protestant College” pursuant to the General Laws of the State of New York.  Such certificate of incorporation constituting the corporation’s absolute charter was amended by Special Act of the Legislature pursuant to the provisions of Chapter 579 of the Laws of 1864 on May 4, 1864 with respect to the holding of property and by action of the Board of Regents on June 28, 1906, under the name “Syrian Protestant College of Beirut;” such charter was amended by Regents action on November 18, 1920, to change the corporate name to “American University of Beirut;” amended on May 16, 1941, April 21, 1950, June 22, 1984, September 15, 1989 and last amended on September 17, 1999.   The board of trustees has applied for an amendment to the absolute charter to increase the maximum number of trustees from 40 to 45.  The Office of Higher Education recommends that the absolute charter be amended accordingly.

A provisional charter was granted to this corporation by Regents action on July 24, 1992 to operate and maintain an institution of higher learning and to offer programs leading to degrees at the baccalaureate, master’s and doctoral levels.  Such provisional charter was amended by Regents action on May 20, 1994, February 7, 1996 and was made absolute on September 20, 1996.  Such absolute charter was amended by Regents action on November 8, 1996, July 16, 1999, July 18, 2002 and September 9, 2005.  The board of trustees has applied for an amendment to the absolute charter to add authority for the University to establish a branch campus in Bucharest, Romania, at which it would award the Master of Business Administration (M.B.A.) and the Master of Science (M.S.).  The Office of Higher Education recommends that the absolute charter be amended accordingly.

A provisional charter was granted to this corporation by action of the Board of Regents on July 22, 1986.  Such provisional charter was consolidated with Gestalt Associates in Psychotherapy, Inc. on July 22, 1986.  Such provisional charter was extended by Regents action on May 25, 1990 and was made absolute on November 3, 1995.  The board of trustees has applied for an amendment to the absolute charter to include Psychoanalytic training, including the operation of a clinic providing outpatient psychoanalytic psychotherapy services, which is staffed by students of the Psychoanalytic program in their purposes.  The Office of the Professions recommends that the absolute charter be amended accordingly.
