SUMMARY:

 

Attached are summary recommendations with respect to charter applications. A total of 31 charter actions are recommended involving 31 institutions, including 5 libraries, 3 museums, 2 historical societies, 11 nonpublic schools, 8 institutions of higher education, 1 other education corporation and 1 not-for-profit corporation.

 

I recommend that the Regents approve each application in accordance with the recommendations contained in the respective summaries.

ABSOLUTE CHARTER

FALLSBURG LIBRARY

 

South Fallsburg, Sullivan County

 

A provisional charter was granted to this corporation by action of the Board of Regents on December 15, 2000 to operate a school district library to serve the Fallsburg Central  School District. The board of trustees has applied for an absolute charter. Janet M. Welch and the Office of Cultural Education recommend that the provisional charter be made absolute.

DEPOT PRESERVATION SOCIETY

 

Port Jervis, Orange County

 

A provisional charter was granted to this corporation by action of the Board of Regents on July 23, 1985 to acquire, preserve and maintain the former Erie Railroad Depot building and property located in downtown Port Jervis; to acquire by purchase, gift, devise or otherwise, the title to or the custody or control of historic spots and places; to preserve and protect buildings and sites of historic interest; to collect and preserve records, relics and other things of historic interest; to mark places of historic interest with suitable monuments and markers; and to foster and promote public knowledge of and interest in local and national history. The board of trustees has applied for an amendment to the provisional charter to change the corporate name to “Tri-States Railway Preservation Society,” to amend the corporate purposes to include authority to preserve the railroad history and heritage of a twenty mile area surrounding Port Jervis also known as the Tri-State area and, as so amended, for an extension of the provisional charter. Clifford A. Siegfried, David W. Palmquist and the Office of Cultural Education recommend that the provisional charter be amended to change the corporate name to “Tri-States Railway Preservation Society” but defer their recommendation on that portion of the petition requesting amendment of the corporate purposes and the extension of the provisional charter to give the corporation additional time to submit specific language for the amendment of its purposes, submit its questionnaire and complete two annual reports.

GREECE PUBLIC LIBRARY

 

Greece, Monroe County

 

A provisional charter was granted to this corporation by action of the Board of Regents on June 27, 1958 to operate a town public library. Such provisional charter was extended by Regents action on June 24, 1960 and April 26, 1968 and was made absolute by Regents action on June 25, 1971. The board of trustees has applied for an amendment to the absolute charter to change the number of trustees from five to not less than five nor more than seven and to add the language necessary to maintain tax-exempt status under Internal Revenue Code §501(c)(3). Janet M. Welch and the Office of Cultural Education recommend that the absolute charter be amended accordingly.

Elbridge, Onondaga County

 

A provisional charter was granted to this corporation by action of the Board of Regents on May 25, 1922 to operate an association library serving the village of Jordan. Such provisional charter was extended by Regents action on July 18, 1941, July 31, 1947, July 29, 1951, March 1, 1957, September 29, 1961 and June 21, 1968 and was made absolute by Regents action on June 29, 1973. The board of trustees has applied for an amendment to the absolute charter to change the corporate name to “Jordan Bramley Library” and to add the language necessary to maintain tax-exempt status under Internal Revenue Code §501(c)(3). Janet M. Welch and the Office of Cultural Education recommend that the absolute charter be amended accordingly.

A provisional charter was granted to this corporation by action of the Board of Regents on September 19, 1947 to operate an association library. Such provisional charter was made absolute by Regents action on September 14, 1950. Such absolute charter was amended by Regents action on January 22, 1986. The board of trustees has applied for an amendment to the absolute charter to change the corporate name to “Patterson Library” and to change the service area from the unincorporated village of Patterson to the town of Patterson. Janet M. Welch and the Office of Cultural Education recommend that the absolute charter be amended accordingly.

SHENENDEHOWA PUBLIC LIBRARY

 

Clifton Park, Saratoga County

 

A provisional charter was granted to this corporation by action of the Board of Regents on December 13, 1985 to operate a special district public library to serve the town of Clifton Park as defined in the special legislation establishing the district, Chapter 519 of the Laws of 1985. Such provisional charter was made absolute by Regents action on December 18, 1992. Such absolute charter was amended by Regents action on February 11, 2003 to change the chartered service area to also include that portion of the town of Halfmoon located outside of the limits of the Mechanicville and Waterford public school districts. The board of trustees has applied for an amendment to the absolute charter to change the corporate name to “Clifton Park-Halfmoon Public Library.” Janet M. Welch and the Office of Cultural Education recommend that the absolute charter be amended accordingly.

The board of trustees has petitioned the Board of Regents to form a corporation to promote and encourage original historical research; to disseminate and encourage a greater knowledge of the history of the state of New York, county of Delaware, and particularly of the town of Harpersfield and its environs; to gather, preserve, display and make available for study artifacts, relics, books, manuscripts, papers, photographs and other records and materials relating to the history of the state of New York and particularly of the town of Harpersfield and the surrounding area; to encourage the suitable marking of places of historic interest and to acquire by purchase, gift, devise, or otherwise the title to or the custody and control of historic sites and structures, and preserve and maintain such sites and structures. Clifford A. Siegfried, David W. Palmquist and the Office of Cultural Education recommend that a provisional charter be granted for a period of five years.

SALMON RIVER VISITOR’S CENTER AND INTERNATIONAL SPORT FISHING MUSEUM

The board of trustees has petitioned the Board of Regents to form a corporation to establish and maintain a history museum relating to the sport of fishing and its history; to collect, own, hold, maintain, preserve, and make available appropriate historical objects and artifacts; to arrange, create, maintain, and promote appropriate historical exhibits and displays; to establish and maintain an historical research library and archives and to promote and support historical research and scholarship, issue publications in all formats, and organize historical and cultural activities, programs and events for the public. Clifford A. Siegfried, David W. Palmquist and the Office of Cultural Education recommend that a provisional charter be granted for a period of five years.

ORANGE COUNTY COMMUNITY OF MUSEUMS AND GALLERIES

 

Goshen, Orange County

 

A provisional charter was granted to this corporation by action of the Board of Regents on June 26, 1964 to promote the welfare of museums, galleries of art and comparable institutions in Orange County, New York; to foster continuous improvement of these institutions through the development and observance of high standards of ethics, conduct, education and scholarly attainments; to encourage cooperation among these museums and galleries; to survey the possible need for further museums; and to cooperate with the duly constituted authorities of the State of New York in carrying out these objects. Such provisional charter was made absolute by Regents action on April 25, 1969. The board of trustees has petitioned the Board of Regents for the dissolution of the charter since the organization has not functioned since the early 1980’s. The trustees request Regents approval of the distribution of the remaining assets of the corporation to the Orange County Historical Society, an education corporation which was granted a provisional charter by the Board of Regents on December 14, 1971 and an absolute charter on September 15, 1995. Clifford A. Siegfried, David W. Palmquist and the Office of Cultural Education recommend that the absolute charter of Orange County Community of Museums and Galleries be dissolved and that its assets be distributed to the Orange County Historical Society.

Pulaski, Oswego County

 

The board of trustees and the board of directors have petitioned the Board of Regents, pursuant to Education Law §223, for an order of consolidation of Salmon River Visitor’s Center and International Sport Fishing Museum and Friends of Salmon River Visitor’s Center and International Sport Fishing Museum, Inc.  Salmon River Visitor’s Center and International Sport Fishing Museum has petitioned the Board of Regents for a provisional charter. Friends of Salmon River Visitor’s Center and International Sport Fishing Museum, Inc. was incorporated under §402 of the Not-for-Profit Corporation Law on October 22, 2002. Upon the effective date of the consolidation of Salmon River Visitor’s Center and International Sport Fishing Museum and Friends of Salmon River Visitor’s Center and International Sport Fishing Museum, Inc., Salmon River Visitor’s Center and International Sport Fishing Museum will assume all the assets, liabilities and responsibilities of both organizations. The consolidated corporation will operate under the provisional charter granted to Salmon River Visitor’s Center and International Sport Fishing Museum. Clifford A. Siegfried, David W. Palmquist, Christine Kleinegger and the Office of Cultural Education recommend that an order of consolidation of Salmon River Visitor’s Center and International Sport Fishing Museum and Friends of Salmon River Visitor’s Center and International Sport Fishing Museum, Inc., be granted, with the surviving corporation being Salmon River Visitor’s Center and International Sport Fishing Museum.

A provisional charter was granted to this corporation by action of the Board of Regents on September 24, 1965 to bring about the improvement of education, particularly in member school systems, through the cooperative study of common educational problems, the effective diffusion of educational practices and the stimulation of the active participation of school boards, administrators, teachers, pupils and laymen in educational planning and activity and to recognize and support programs and meetings for school board members, such as the School Board Institute. Such provisional charter was made absolute by Regents action on February 27, 1970. Such absolute charter was amended on February 4, 1997 to add authority for the corporation to operate day care centers for children of employees of public schools in the East Meadow, Island Trees, Smithtown and Jericho School Districts, and in such other school districts as are eligible and willing to participate in such programs, to enable these schools to attract and hold qualified staff members. The board of trustees has applied for an amendment to the absolute charter to change the corporate name to “Scope Education Services” and to be further known by the use of the acronym “SCOPE”; to be located primarily in Smithtown, county of Suffolk, state of New York; and, in addition, to add authority to provide tutorial or other academic enrichment activities to children, including but not limited to: gifted and talented programs; summer enrichment; SAT and other test preparation; supplemental educational service programs; and driver education, except that such driver education shall be limited to instruction provided pursuant to Part 7 of the Regulations of the Commissioner of Motor Vehicles (15 NYCRR Part 7) and shall not include instruction provided pursuant to Part 2 of the Regulations of the Commissioner of Motor Vehicles (15 NYCRR Part 2), and furthermore, that no such instruction shall be provided unless and until the corporation has received the approval of the Commissioner of Motor Vehicles; and to provide training services for teachers, administrators and support staff in order to bring about the improvement of education, particularly in member school systems. A provisional charter was granted to this corporation by action of the Board of Regents on March 29, 1968 to operate and maintain a nursery school and kindergarten employing the teaching methods and principles established by Dr. Maria Montessori.  Such provisional charter was made absolute by Regents action on June 25, 1971. Such absolute charter was amended by Regents action on July 28, 1989 to add authority for the corporation to operate a day care center in Monroe County and on June 9, 1995 to change the corporate address and to add provisional authority for the school to also operate a grade one through six elementary program. The board of trustees has applied for an amendment to the absolute charter to authorize the corporation to also operate a toddler program; to delete the authority to operate a day care center and to extend the provisional authority to operate the grade one through six elementary program. The Office of Children and Family Services (OCFS) has consented to this action pursuant to §460-a of the Social Services Law and §216-a of the Education Law. Thomas E. Hogan and the Office of Nonpublic School Services recommend that the absolute charter be amended accordingly and that the provisional amendment be extended for a period of three years to allow the corporation additional time to develop its program and otherwise demonstrate that it can meet the requirements to make the amendment absolute.

The board of trustees has applied for an amendment to the provisional charter to change the corporate address to 84 Zena Road, Kingston, New York 12401 and, as so amended, for an extension of the provisional charter. The board of trustees has petitioned the Board of Regents for the dissolution of the charter because the corporation is no longer in operation and all taxes payable by the corporation have been paid. There are no remaining assets. The trustees request Regents approval of the filing of the student records with the Waverly School District. Thomas E. A provisional charter was granted to this corporation by action of the Board of Regents  on June 26, 1970 to operate a four-year college with liberal arts programs with an emphasis on the relevance of the Jewish heritage to the general culture of Western civilization. Such provisional charter was amended on April 11, 1973, on June 28, 1974, and extended on June 27, 1975 and was consolidated by Regents action on June 21, 1979 with Jewish Teachers Seminary and People’s University, a domestic corporation incorporated pursuant to Chapter 593 of the Laws of 1935 and with Herzliah Hebrew Teachers Institute, Inc., which was incorporated by action of the Board of Regents under the corporate name “Herzliah Hebrew Academy, Inc.” on February 15, 1923 and amended by Regents action on February 15, 1946 to change the corporate name to “Herzliah Hebrew Teachers Institute, Inc.” Such provisional charter was amended and extended numerous times, and was made absolute by Regents action on January 17, 1990. Such absolute charter was again amended by Regents action on September 19, 1997 and on April 29, 2003 to add authority for the University to confer the degree of Doctor of Physical Therapy (D.P.T.) at the Main Campus in Manhattan and at its Branch Campus in Huntington, New York. The board of trustees has applied for an amendment to the absolute charter to add authority for the University to establish a branch campus at Bay Shore, Suffolk County and to authorize it to award at that branch campus the degrees of Associate in Applied Science (A.A.S.), Bachelor of Science (B.S.), Master of Science (M.S.) and Doctor of Physical Therapy (D.P.T.). Such provisional charter was extended by Regents action on January 15, 1993 and March 16, 1999. The board of trustees has applied for an amendment to change the corporate name to “East Side Institute for Group and Short Term Psychotherapy” and, as so amended, for a further extension of the provisional charter. Such provisional charter was extended by Regents action on November 6, 1998. The board of trustees has applied for an extension of the provisional charter.
