SUMMARY:

 

Attached are summary recommendations with respect to charter applications. A total of 6 charter actions are recommended involving 6 institutions, including 1 museum, 2 libraries, 2 nonpublic schools, and 1 chartered postsecondary institution.

I recommend that the Regents approve each application in accordance with the recommendations contained in the respective summaries.

AMENDMENT OF CHARTER

 

No. 1

MYNDERSE LIBRARY

Seneca Falls, Seneca County

The association library was incorporated by the Secretary of State under the General Laws of New York State under the corporate name “Seneca Falls Library Association” on December 12, 1891. Such charter was amended by Regents action on June 28, 1906 to change the corporate name to “Mynderse Library.” The board of trustees has applied for an amendment to the charter to change the corporate name to “Seneca Falls Library.” Janet M. Welch and the Office of Cultural Education recommend that the charter be amended accordingly.

BLACK RIVER CANAL MUSEUM

Boonville, Oneida County

The board of trustees has petitioned the Board of Regents to form a corporation to protect, enhance, perpetuate and preserve buildings and landmarks of historic, architectural and cultural significance on the Black River Canal and to educate the adults and children of these areas about the significance of their architectural and historic heritage; to disseminate information and stimulate public interest in historic preservation of the Black River Canal; to acquire by purchase, gift, devise or otherwise the title to, or the custody and control of sites, buildings and areas of historical and cultural significance relating to the Black River Canal; to mark places of historic interest on the Black River Canal with suitable monuments and markers; to collect, preserve and interpret objects related to the Black River Canal; and to research, document and disseminate information on the Black River Canal. Clifford A. Siegfried, David W. Palmquist and the Office of Cultural Education recommend that a provisional charter be granted for a period of five years.

CLINTON COMMUNITY LIBRARY

Clinton Corners, Dutchess County

The board of trustees has petitioned the Board of Regents to form a corporation to operate a town library to serve the residents of the town of Clinton. Janet M. Welch and the Office of Cultural Education recommend that a provisional charter be granted for a period of five years.

New York City, New York County

 

A provisional charter was granted to this corporation by action of the Board of Regents on June 13, 2000 to operate a nursery school for preschool children from three to five years of age; to operate a kindergarten program for children who are five years of age; to operate a grade one elementary school; to operate an after school care program for children from six to eleven years of age; and to establish and operate day care centers for children in Queens County. The board of trustees has applied for an amendment to the provisional charter to delete authority for the corporation to operate a grade one elementary school, and as so amended, be made absolute. Thomas E. Hogan and the Office of Nonpublic School Services recommend that the provisional charter be amended accordingly and, as so amended, made absolute.

THE RESEARCH FOUNDATION OF STATE UNIVERSITY OF NEW YORK

 

Albany, Albany County

 

An absolute charter in the first instance was granted to this corporation by action of the Board of Regents on February 16, 1951 to assist in developing and increasing the facilities of the State University of New York to provide more extensive educational opportunities for and service to its students, faculty, staff and alumni, and to the people of the State of New York, by making and encouraging gifts, grants, contributions and donations of real and personal property to or for the benefit of the State University of New York; to receive, hold and administer gifts or grants, and to act without profit as trustee of educational or charitable trusts, of benefit to and in keeping with the educational purposes and objects of the State University of New York; and to finance the conduct of studies and research in any and all fields of the arts and sciences, of benefit to and in keeping with the educational purposes and objects of the State University of New York. Such absolute charter was amended by Regents action on June 29, 1951, November 22, 1968, May 23, 1986 and January 17, 1990 to designate the Executive Vice Chancellor of the State University of New York to serve as Director and Chair of the Board of Directors of the Research Foundation if the Chancellor declines to act as Director and Chair. The board of directors has applied for an amendment to the absolute charter to increase the allowable number of directors to sixteen and to change the procedure for appointing directors by providing for the election of directors by the board of directors rather than by the trustees of the State University of New York. Johanna Duncan-Poitier and the Office of Higher Education recommend that the absolute charter be amended accordingly.
